Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of BUILDAiD, including its website, applications, and related services (the “Service”), operated by Uptown Developments Inc. (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About BUILDAiD

BUILDAiD is owned and operated by Uptown Developments Inc.. It is an AI-assisted tool that helps users find and understand information from the Ontario Building Code (OBC) and the City of Toronto Zoning By-law. It can answer plain-language questions, explain code provisions, assist with reviewing uploaded documents, and provide a searchable code library. The Service is currently provided as a private beta and is intended for informational and educational purposes only.

2. Not Professional Advice

BUILDAiD does not provide legal, engineering, architectural, code-consulting, or other professional advice, and your use of it does not create any professional, advisory, or fiduciary relationship. Building codes and zoning by-laws are complex, fact-specific, and subject to interpretation and amendment. You must not rely on the Service as a substitute for the judgment of a qualified, licensed professional or for the determination of the authority having jurisdiction.

3. Not an Official Source; No Affiliation

BUILDAiD is an independent product. It is not affiliated with, endorsed by, or sponsored by the Government of Ontario, the King’s Printer for Ontario, the City of Toronto, or any building, planning, or code authority. The official, authoritative versions of the Ontario Building Code, the City of Toronto Zoning By-law, and all other codes and by-laws are published by the responsible government bodies and govern in all cases. Where the Service’s output differs from the official source, the official source prevails.

4. Your Responsibility to Verify

You are solely responsible for independently verifying any information obtained from the Service against the current official code or by-law text, and for confirming its application to your specific project with the authority having jurisdiction (AHJ) and qualified licensed professionals (such as a registered architect, professional engineer, or BCIN-qualified designer) before relying on it for any design, permit application, construction, or other decision. Do not use the Service as the sole basis for any decision affecting health, safety, property, or legal compliance.

5. AI-Generated Content and Limitations

Answers are generated using artificial intelligence and automated retrieval. They may be inaccurate, incomplete, out of date, or may misinterpret the source material, and may occasionally describe or cite provisions incorrectly. Code references, quoted text, page numbers, and table values may contain errors. We do not warrant the accuracy, completeness, currency, or fitness for any purpose of any output.

6. Eligibility and Accounts

The Service is offered to professionals and others involved in building and design, and you must be at least the age of majority in your province or territory of residence to use it. Access during the beta may require an access code. You are responsible for keeping your access credentials confidential and for all activity under your account, and you agree to notify us promptly at info@buildaid.co of any unauthorized use.

7. Acceptable Use

You agree not to:

  • use the Service in violation of any applicable law or regulation;
  • rely on outputs as the sole basis for safety-critical, permit, or compliance decisions without independent professional verification;
  • attempt to disrupt, overload, or gain unauthorized access to the Service or its underlying systems;
  • scrape, harvest, reverse engineer, decompile, or attempt to extract source code, models, or underlying data, except as permitted by law;
  • resell, sublicense, or commercially exploit the Service or its outputs without our prior written permission;
  • submit unlawful, infringing, or harmful content, or personal information about others without authorization; or
  • misrepresent the Service’s output as official, certified, or professionally reviewed.

8. Intellectual Property

The Service, including its software, design, user interface, and original content, is owned by Uptown Developments Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal, lawful purposes during the beta, subject to these Terms. The Ontario Building Code is © King’s Printer for Ontario, and Toronto zoning data is © City of Toronto and/or its data providers; such third-party materials remain the property of their respective owners and are used to provide the Service’s informational features. All rights not expressly granted are reserved.

9. Your Inputs

You retain ownership of the questions, text, addresses, and documents you submit (“Inputs”). You grant us a license to process your Inputs to operate, secure, and improve the Service, including transmitting them to our AI and infrastructure providers to generate responses. Do not submit confidential, privileged, or sensitive personal information you do not wish to be processed in this way. See our Privacy Policy for details.

10. Third-Party Services

The Service relies on third-party providers (including cloud, AI, analytics, and email providers). Your use may be subject to those providers’ terms, and we are not responsible for their acts or omissions.

11. Beta Service; Changes and Availability

The Service is provided on a beta basis. We may add, modify, suspend, or discontinue features or the entire Service at any time, with or without notice, and we do not guarantee availability, uptime, or that the Service will be error-free.

12. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, OR ERROR-FREE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTOWN DEVELOPMENTS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, OR FOR ANY DAMAGES ARISING FROM CONSTRUCTION DEFECTS, CODE OR ZONING NON-COMPLIANCE, PERMIT DELAYS OR DENIALS, OR RELIANCE ON ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Uptown Developments Inc. and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use or misuse of the Service, your Inputs, your reliance on any output, or your violation of these Terms or any law or third-party right.

15. Termination

We may suspend or terminate your access at any time, with or without cause or notice. Upon termination, your right to use the Service ceases. Sections that by their nature should survive — including Sections 2–5, 8, 9, and 12–14 — survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Service, subject to any non-waivable rights you may have under applicable consumer-protection law.

17. Changes to These Terms

We may update these Terms from time to time. We will reflect changes by updating the “Last updated” date above, and your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

18. General

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms constitute the entire agreement between you and us regarding the Service.
